Automobile Dealership Law both transactional and litigation Our clients include more than 150 automobile dealerships. We represent clients in all aspects of their business including buying or selling dealerships, financing, franchising, licensing, advertising, litigation, and consumer fraud matters.
Banking and Secured Transactions, including SBA and commercial loans The firm acts as counsel to banks and other lenders, preparing and reviewing loan documents and reviewing supporting documentation provided by borrowers. We also represent borrowers in commercial loan transactions. We regularly represent clients in connection with commercial mortgage loans, term loans, asset-based lending, U.S. Small Business Association (SBA) loans, franchise financing, cash flow financing, and inventory (“floor plan”) financing.
Commercial Litigation In addition to representing automobile dealers and banks in litigation matters, the firm handles a wide variety of commercial litigation matters including, but not limited to, collection actions, breach of contract matters, and shareholder and partnership disputes.
Condominium Associations The firm represents boards of directors of condominium associations. Clients range in size from small condominiums to condominiums having as many as 1,000 units. Legal services include attendance at monthly board meetings, supervision of annual elections of board members, general litigation, dealings with management companies in the day-to-day operations of condominium clients, and preparation of public offering statements.
Consumer Fraud and Advertising Regulation Litigation We represent auto dealers and other businesses in the defense of consumer fraud actions, advertising violations, and actions brought by state agencies including, but not limited to, the New Jersey Division of Consumer Affairs, the Division of Motor Vehicles, and the Department of Banking and Insurance, as well as other non-governmental entities such as the Better Business Bureau.
Contract Negotiation and Disputes We negotiate and draft commercial contracts covering all types of business transactions including distributor agreements, franchise agreements, joint venture agreements, shareholder (buy/sell) agreements, operating agreements, real estate purchase or sale agreements, commercial real estate leases, stock purchase or sale agreements, asset purchase or sale agreements, merger agreements, equipment purchase/leasing agreements, employment agreements, non-compete/non-disclosure agreements, end-user license agreements, consulting agreements. The firm also represents clients involved in contract disputes, negotiating settlements and, if necessary, litigating resolution of disputes.
Corporate and Business Issues The firm represents small and medium size businesses, from formation to dissolution. We counsel clients in entity selection and formation, qualification in other states, corporate governance issues, bylaws, minutes, resolutions, shareholder meetings, director meetings, operating agreements, partnership agreements, shareholder (buy/sell) agreements, shareholder disputes, mergers, acquisitions, dispositions, dissolutions, financing, leasing, contract preparation and negotiation, employment agreements, employee benefits, non-compete/non-disclosure agreements, and day-to-day legal issues.
Estate Planning; Estate Administration We begin our estate planning process with a review of a client’s financial situation as well as their personal and charitable wishes and then craft an estate plan utilizing techniques to reduce or eliminate federal and state taxes where appropriate. The estate plan may include lifetime gifting strategies. We then implement the estate plan through wills, life insurance trusts, family trusts, lifetime gifting, qualified personal residence trusts, grantor retained annuity trusts, charitable trusts, and private foundations. As part of our estate planning process, we work with clients who own businesses to provide for the transfer of the business upon their death, disability, or retirement. Our estate administration services include the probate of wills, preparation of federal and state tax returns, and preparation and settlement of executor and trustee accounts.
Family Law We represent clients in all aspects of family law including divorce litigation, negotiation of property settlement agreements, prenuptial agreements, and adoption. We provide service to juveniles having contact with the criminal justice system and parties in domestic violence actions in the Family Part of the New Jersey Superior Court.
Land Use and Development The firm represents clients before local planning boards and boards of adjustment with respect to applications for project development.
Real Estate, Commercial and Residential We represent clients in the purchase, sale, and leasing of commercial and residential real estate, including mortgage financing.
Technology Law The firm represents clients engaged in technology consulting services and software development and sales. We negotiate and draft consulting agreements, software development agreements, end-user license agreements, distributor agreements, sales terms and conditions, non-compete/non-disclosure agreements, and purchase agreements.
